The primary focus of our M&A practice is representing private equity funds and their portfolio companies. We have developed numerous techniques and initiatives for executing acquisitions, going private transactions, spin-offs and minority equity holder take-outs.
Our M&A practice has earned national recognition for representation of privately and publicly held companies in mergers, acquisitions, divestitures, recapitalizations and other complex corporate transactions. We also represent lenders, private equity funds, boards of directors and special board committees in connection with M&A transactions.
Private Equity
Our M&A attorneys have extensive experience representing clients at every phase of private equity transactions and across all asset classes or strategies. We not only represent private equity funds in their investments, we also represent public and private companies receiving infusions of private equity capital. Our M&A attorneys have represented private equity funds in many different industries in acquisitions, mergers, divestitures, recapitalizations and buyouts.
Representative Experience
- Represented a buyout fund in multiple acquisitions focused on acquiring companies engaged in payments, banking and the financial supply chain.
- Represented a private equity fund in its equity investment in a private aviation company providing fixed-base operations, private jet management and comprehensive management and maintenance capabilities to private aircraft owners.
- Represented a publicly-held company in its PIPE transaction with selected institutional investors. Post-transaction, served as lead counsel for the company in its acquisition of European and Asian operations engaged in the business of repairing computers, components and peripherals.
